These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. SECTION 14 – INDEMNIFICATION You agree to indemnify, defend and hold harmless Helpllc and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, employees, successors and assigns from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference or your violation of any law or the rights of a third-party.

SECTION 15 – SEVERABILITY In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 – TERMINATION The obligations and liabilities of you and us incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 – WAIVER No waiver by us of any term, condition or provision set out in these Terms of Service shall be deemed a further or continuing waiver of such term, condition or provision or a waiver of any other term, condition or provision, and our failure to exercise or enforce or delay in exercising and enforcing any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

SECTION 18 – GOVERNING LAW These Terms of Service shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).

SECTION 19 – ARBITRATION AND WAIVER OF CLASS ACTIONS YOU AND HELPLLC AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY ARBITRATION BEFORE ONE ARBITRATOR. THE ARBITRATION SHALL BE ADMINISTERED BY JAMS PURSUANT TO ITS COMPREHENSIVE ARBITRATION RULES AND PROCEDURES AND IN ACCORDANCE WITH THE EXPEDITED PROCEDURES IN THOSE RULES. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not prevent parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. However, we agree that if your claim is small enough that the law allows you to file it in a small claims court, you may do so instead of submitting to binding arbitration. We will submit to binding arbitration in any event. YOU AND HELPLLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND HELPLLC AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS WITH YOUR CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. If a court refuses to enforce the waiver of class-wide arbitration, this entire arbitration provision shall be unenforceable and any claims brought on behalf of a putative class will proceed in court. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION WE EACH WAIVE ANY RIGHT TO A JURY TRIAL. The parties shall maintain the confidential nature of the arbitration proceeding and any award, including the arbitration hearing, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision. The arbitrator will conduct hearings, if any, by teleconference or video conference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. Any in-person appearances will be held at a location that is reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, such determination should be made by JAMS or by the arbitrator. The arbitrator’s decision will follow the terms of these Terms of Service and will be final and binding. In any arbitration arising out of or related to this agreement, there shall be no interrogatories or requests to admit. IN ANY ARBITRATION ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE ARBITRATOR(S) ARE NOT EMPOWERED TO AWARD PUNITIVE OR EXEMPLARY DAMAGES, EXCEPT WHERE PERMITTED BY STATUTE, AND THE PARTIES WAIVE ANY RIGHT TO RECOVER ANY SUCH DAMAGES. THE ARBITRATOR(S) MAY NOT AWARD ANY INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS. As stated in Section 18 of these Terms of Service, California law governs this entire agreement, but the parties acknowledge that this agreement evidences a transaction involving interstate commerce and that notwithstanding Section 18, any arbitration conducted pursuant to the terms of this agreement shall be governed by the Federal Arbitration Act.

SECTION 20 – ENTIRE AGREEMENT These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

This Notice is part of the Terms and Conditions for Our Online Services (“Terms”) for our online services. Separate terms may also apply to certain/other programs and services offered by HelpLLC (“Programs”). INFORMATION WE COLLECT HelpLLC collects both Personal Information and Other Information regarding users of the online services, either directly or through the activities of third-party vendors and service providers (“Vendors”). For purposes of this Notice, “Personal Information” is information that HelpLLC can directly associate with a specific person or entity without additional information. “Other Information” is any information that is not Personal Information. We may combine Other Information with Personal Information, and in those circumstances, we will treat the combined information as Personal Information. The Personal Information that HelpLLC collects may include, for example, and without limitation: Personal details, such as your first and last name, birthday information, postal address, email address, phone number. Transaction information, including information about the menu items you buy, prices, methods of payment and payment details Account information, geolocation (which may include specific longitude and latitude) Financial payment details for purchases Financial and business intelligence related to a catering applicant/customer We may use automated technology to collect information from your computer system or mobile device when you visit our Internet, use our online services, or in-Internet technology. We may also collect publicly available information. For example, we may collect public profile information about you when you interact with us through social media. Other information we may collect includes, for example, your occupation, general geographic location, media and brand preferences, inferred interests, demographic data, purchase behavior, public online activities, and other information about you or your household. Information that you provide as part of entering a contest or sweepstakes online through online services or a third-party website. This information will be used as described in the applicable Official Contest/Sweepstakes Rules. Information that is publicly available, for example, the information you submit to a blog, chat room, or social media networks like Facebook or Twitter. Information that your social media network provides to us if you connect your social media accounts with HelpLLC. For example, this may include your social media ID or username, name, email address, general location, friends list, and demographic information such as gender or birthday/age. Note that certain of the information we receive will become part of your account(s) with HelpLLC and will be subject to this Privacy Notice. Information as described elsewhere in this Notice, the Terms, and/or applicable Program terms, or at the time such information is collected. We may combine the information you provide us with information that is collected through automated methods, and with information, we receive from other sources, for example, our advertisements that you see. We may also associate the information we collect about you with information we collect about other users’ accounts if you/your employer has set up an account for multiple authorized users (for example, a corporate catering account).

To contact you by email, phone, text, push notices, or other methods regarding our products and services, including matters related to your account, your order, or your future catering needs. To provide you with, or otherwise respond to your submissions or requests for, information and/or services, including but not limited to providing webcasts, text messages, push notices, marketing, and other programs; responding to Guest Service issues, catering and other inquiries; and letting you know if you qualify for one of our programs. To provide services, programs and services functionality and to administer the online services, programs and services, including to let you sign up for an account, provide you with program benefits, verify your participation in a program or service, process orders placed and applicable payments, track submissions, and make your historical ordering information that we have available to you. We do not have your historical ordering information for orders you place through third parties like GrubHub, DoorDash otherwise not through, or our mobile app. Note that third-party information you provide may be maintained in connection with your submission. To send you promotional messages regarding new menu items, products or services, events in our Internets, events that HelpLLC sponsors, including but not limited to contests, sweepstakes and surveys, and special offers and marketing programs, which may include information about our affiliated company(ies), and/or other programs with which any of us or them are involved, and/or information about third party products, services, offers or programs. HelpLLC and/or our third-party Vendors may use cookies, pixels and web beacons (described below), device identifiers such as IDFA for iOS or Advertising ID for Android, device location features or beacons, or other similar technology (“Tracking Technologies”), to enhance the browsing and usage experience on the Services and enable certain functionality related to our Services. The information captured about your activities on the Services will also make it possible for us, among other things: (i) to speed navigation and provide you with custom-tailored content; (ii) to remember information you gave to us so you do not have to re-enter it each time you visit the Services; (iii) to target advertising as described in the “Third-Party Analytics and Targeted Marketing” section below and monitor the effectiveness of certain of our marketing campaigns; (iv) to monitor total number of visitors, pages viewed, the web address you came from, and type of browser you are using; and (v) to enforce limitations on downloads described for online coupons and other similar offers.
